Before purchasing property in Bali, the buyer should understand who stands behind the property, which documents support the transaction, how payments are arranged, and how the selected right is registered before completion. Golden Tree develops private residences in Bali. For each selected villa, the documentation package, payment schedule, notarial process, registration steps, and applicable legal requirements should be reviewed before completion.
Golden Tree acts as the project developer and the direct seller of the properties. All transactions are conducted directly between Golden Tree and the buyer and are formalized in accordance with the applicable laws of the Republic of Indonesia. All transactions are prepared and certified by an authorized notary. The registration of real estate rights is carried out in the manner established by the applicable laws of Indonesia, including the provisions of Law No. 5 of 1960 on the Basic Principles of Agrarian Law, commonly referred to as the Basic Agrarian Law, and the relevant implementing regulations.
Golden Tree adheres to the principle of maximum transparency in real estate transactions. Prior to signing the main agreement, the buyer and the buyer’s legal advisors may be provided with documentation related to the property and the transaction structure, including, depending on the specific project and the type of right being acquired:
land title certificate
zoning and permitted land use documents
permits and approvals
architectural and design documentation
technical specifications of the property
construction and handover schedule
payment schedule
draft agreements and related transaction documents
Additional documents may be provided upon a justified request from the buyer or the buyer’s representatives.
All transactions are conducted with the assistance of a notary and are formalized in accordance with the requirements of Indonesian law. Before the signing of the main agreement, the notary reviews the documents required for the transaction, including the legal status of the land, the authority of the parties, the compliance of the documentation with applicable law, and the possibility of state registration of the right being acquired. The buyer has the right to additionally engage independent legal advisors, auditors, or other specialists to conduct their own legal and technical due diligence of the property. Golden Tree provides the necessary assistance in making available the documents and information related to the transaction.
At the initial stage, the parties sign a property reservation agreement, also referred to as a Reservation Agreement or Booking Agreement. Under this agreement, the buyer pays a deposit confirming the buyer’s intention to purchase the property and reserving it for the agreed period. After the deposit is received, the legal due diligence procedure begins. As part of this process, the notary reviews the property documents and verifies the possibility of completing the transaction in accordance with Indonesian law. The due diligence process includes the review of: the legal status of the land; the existence of registered rights to the property; the existence of encumbrances, restrictions, or seizures; the existence of legal disputes; the property’s compliance with urban planning requirements and permit documentation; any other circumstances that may affect the security of the transaction. If the legal due diligence is successfully completed, the deposit is credited toward the purchase price of the property. If the due diligence reveals material legal risks, restrictions, or other circumstances that prevent the lawful completion of the transaction or materially affect the possibility of using the property for its intended purpose, the reservation agreement is terminated, and the deposit paid by the buyer is returned in full. After completion of the due diligence, the parties sign the main agreement provided for by the applicable law and the transaction structure. After signing the agreement, the buyer pays the remaining part of the purchase price in accordance with the agreed payment schedule. The signed notarial deed and other necessary documents serve as the basis for the state registration of the transfer or creation of the relevant right to the property. Registration procedures are carried out through the competent government authorities with the assistance of a notary and/or PPAT, in accordance with the applicable laws of Indonesia. Upon completion of the registration, the buyer receives an official document confirming the registered right to the property within the scope provided by the transaction structure. By mutual agreement of the parties, the buyer may be granted an installment payment arrangement on individually agreed terms.
A property may be reserved exclusively on the basis of a written request from the buyer or the buyer’s authorized representative. The reservation is subject to the property being available for sale at the time the request is received. For the purpose of agreeing on the commercial terms of the transaction and preparing the necessary documentation, the property may be temporarily reserved for a period of up to three (3) calendar days.
